X-Rite eXact Spectrophotometer Platform Extended with New Scan Capability

X-Rite, Incorporated today announced the availability of eXact™ Scan, a new option that extends the functionality of the X-Rite eXact 
spectrophotometer platform.  eXact Scan adds unmatched speed, flexibility and new quality control tools to the market-leading eXact™ color 
measurement instruments for the printing and packaging industries.

When combined with InkKeyControl software from X-Rite, eXact Scan enables color management at a low cost of entry, enabling printers to extend the 
useful lives of their presses. InkKeyControl allows printers to achieve faster make-ready and improve quality control through control of ink keys. It 
displays real-time measurement results in a graphical red/yellow/green “traffic light” report, which enables press operators to quickly manage changes 
as they print. 

“The eXact Scan adds value to the eXact platform far beyond its incremental cost,” said Warren Werbitt, CEO of Pazazz Printing in Montreal, a certified 
G7 Master Printer that specializes in conventional offset printing up to 56 inches, digital printing, flexo and digital labels, packaging, wide format and 
mobile solutions. “We first migrated to the eXact to make the transition from using print density in quality control to the more accurate spectral readings.
 
“In addition, with the Scan option, we have more capability to deliver the higher quality our customers expect. With eXact Scan, we can now comfortably 
hold on to an older press that we were not ready to update or retire.”  Pazazz was a beta test site for eXact Scan. 

The eXact Scan option extends the instrument’s ability to accurately read conventional and non-continuous strips for quality assurance applications, 
such as flexo printing for packaging. Also, it is the ideal solution for offset litho printers that have large capital investments in older presses that aren’t 
equipped with in-line color measurement capabilities.

X-Rite Launches Free ColorTRUE App

X-Rite, Incorporated, the world leader in color management, measurement and communication technologies, today announced the release of 
ColorTRUE™ for Apple iOS and Google Android platforms. ColorTRUE provides photographers, designers, and prepress professionals the ability to 
calibrate and profile their tablet and mobile devices for accurate color matching. ColorTRUE includes a Create Profile tool and an Image Gallery viewer 
and is currently available as a free download on the Apple® App Store and Google® Play Store.

ColorTRUE Calibration
ColorTRUE creates a custom display profile for iOS and Android mobile devices using a supported X-Rite measurement device. The user simply 
places the connected device on the tablet or phone when prompted and the measurement process begins automatically. The profile is applied to 
all images displayed through the ColorTRUE Image Gallery, providing the user with the most accurate color match to a desktop reference monitor, 
or other color managed monitors.

X-Rite Becomes Exclusive Distributor of ColorCert

X-Rite, Incorporated announces it is the exclusive distributor of ColorCert® software while simultaneously launching an X-Rite branded edition. Sold 
exclusively by X-Rite, Esko and authorized dealers, the ColorCert® 2.0: X-Rite Edition delivers process control for monitoring and managing color across 
a large and diverse supply chain, greatly simplifying color communication all the way from the artwork phase of projects through separation, ink room 
and pressroom.

Working in collaboration with Nelissen Consulting of Germany to issue the ColorCert 2.0: X-Rite Edition, the company is leveraging its expertise in 
color measurement and management to offer complete closed loop reporting solutions that cover every aspect of color definition and control in 
package production.

X-Rite Pantone to Show Color Bar Scanning for the eXact Platform and Other Color Management Solutions

X-Rite, Incorporated with its wholly owned subsidiary Pantone LLC will showcase award-winning solutions for the measurement, management 
and communication of color at the PRINT 2013 trade fair to be held Sept. 8-12 at McCormick Place, Chicago.
 
As part of those offerings, X-Rite Pantone representatives will demonstrate a new trolley for the recently introduced eXact spectrophotometer that 
enables pressroom personnel to improve color workflows. Pressroom personnel can use the trolley to smoothly read color bars on a variety of printed

X-Rite Launches i1Profiler v1.5

X-Rite, Incorporated today introduced i1Profiler v1.5 for premedia, prepress, photo and print shop customers so they can improve workflow efficiency 
and operate equipment effectively through better management of legacy print work.  
 
Early adopters give i1Profiler v1.5 high marks for quickly and easily retargeting color data values when a job is being printed using a variety of digital 
and offset equipment, saving time when printing from one type of device to another and maintaining color separations.
 
"The new i1Profiler creates very accurate and high quality device links," said Henry Anderson, Technology and Color Specialist at Medford, Ore.-based 
CDS, a part of Consolidated Graphics  (NYSE: CGX), one of the world’s largest commercial printing companies. The i1Profiler v1.5 software produces

X-Rite Pantone and ColorMetrix Offer Seamless Way for VerifiedColor Customers to Access PantoneLIVE

X-Rite Inc. with its wholly owned subsidiary Pantone LLC has reached an agreement with ColorMetrix Technologies LLC to offer a seamless way for 
users of its VerifiedColor software to fully utilize the power of PantoneLIVE™ Color Libraries.

“Packagers, converters, wide-format printers and other customers that use VerifiedColor software to validate colors will save time and improve the 
accuracy of workflows throughout their supply chains with the new PantoneLIVE user interface,” said James Raffel, CEO of ColorMetrix.

ColorMetrix, a Milwaukee-based developer and provider of color validation software, is currently developing the VerifiedColor version that 
connects with PantoneLIVE, with an expected launch date in summer. X-Rite Pantone is a worldwide leader in color standards and the design

X-Rite Pantone Showcases Advanced Solutions for Managing Color

X-Rite, Incorporated and its wholly owned subsidiary Pantone LLC will showcase some of the most advanced solutions in the measurement and 
management of color for the label and converting industries at the Labelexpo Americas 2012 trade fair to be held Sept. 11-13 in metropolitan Chicago.

X-Rite Pantone representatives will demonstrate how any stakeholder  -- from brand owner and specifier to design and pressroom -- can achieve 
higher efficiencies and improved quality through standardized, automated workflows and precise color measurement and management.

X-Rite Pantone representatives will be showing several new solutions that were recently unveiled at the drupa 2012 show in Düsseldorf, Germany.

X-Rite Ships InkFormulation 6 and ColorQuality 6 Software

availability of version 6 of its InkFormulation and ColorQuality software packages. Developed for ink manufacturers and printers who formulate their own ink, X-
Rite’s InkFormulation provides a fast, accurate and consistent ink formulation, formula creation, storage, approval and retrieval solution foroffset, flexographic, 
gravure and screen-printing inks. InkFormulation 6 and ColorQuality 6 give ink suppliers and printers more flexibility over recipes and assortments, improve basic

With version 6’s newly improved Basic Material Module, users can work with a variety of additives within one assortment, allowing them to change a single 
additive in a recipe without having to re-do the draw down or create a completely new assortment. This new enhancements of this module significantly simplifies 
the handling of assortments and recipes, giving users more control over their ink database. 

The new Film Thickness Calibration Module allows users to quickly and preciselydetermine the right ink thickness for flexo, gravure and screen-printing. Users 
no longer need to re-measure known recipes for different line screens or rollers and adjust the film thickness manually; they can simply enter the roller or screen 
volume as a parameter. The software will automatically calculate the required film thickness and apply it to the whole assortment. 

InkFormulation 6 and ColorQuality 6 now both support the new X-Rite Graphic Arts Standard (XRGA).  Databases in both applications contain XRGA data, and 
data being imported from connected instruments will automatically be converted, if necessary.  Version 5 databases will be automatically converted as well when 
imported into version 6. 

X-Rite’s renowned Leftover Management feature, also included in InkFormulation 6 allows leftover inks to be reused in new recipes during the formulation 
process. InkFormulation provides recommendations on how to reduce the amount of leftover inks and allows for any surplus to be reworked into new 
formulations, reducing inventory and waste, lowering disposal costs and providing a rapid return on users’ InkFormulation investment (typical ROI for spot color 
printers, especially in flexo, gravure and screen printing is less than 6 months).

InkFormulation 6 offers unsurpassed flexibility of data exchange with networked databases and Internet communication features so ink suppliers and printers 
can efficiently share color data with locations across the globe. The new version now also supports the latest generation of CxF (Color Exchange Format), the 
universal file format for color communication, allowing them to accurately and unambiguously communicate all commercially significant aspects of their ink’s 
formulation requirements. At each step of the process, colors are defined and stored as CxF files so that they can be seamlessly and faithfully 
exchangedbetween instruments and applications throughout the printing workflow. 

Current users of X-Rite’s Color Master software who choose to switch to InkFormulation 6 to take advantage of these new ground-breaking features will also be 
able to easily import their existing databases.

InkFormulation 6 also features a number of usability enhancements including: more flexiblesorting criteria for recipes; direct and simplified substrate database 
access; a new Print Layout Editor to allow users to define and customize their print layouts (logos, images and labels can be inserted and printed to label ink 
cans and simplify inventory creation); a new ‘undo’ function to allow users to return to the preceding step within the formulation workflow rather than having to 
begin all over again; simplified user administration tools.  

InkFormulation’s advanced matching algorithms improve results, especially in highly opaque applications or when formulating for use on different substrates 
such as metallic foils and transparent films. Final color correction is quick and easy, and can even be done on-press. 

InkFormulation 6 now also features a digital library pack including the new PANTONE PLUS SERIES (C, U), PANTONE® Goe™ System (C, U) libraries, the 
PANTONE MATCHING SYSTEM® (M) libraries and the HKS (E, K, N, Z) libraries. The libraries provide data for No-filter, Pol-filter, D65-filter and UVcut-filter 
(PANTONE libraries only) measurements.

X-Rite Announces vipPAQ 2.0 Inline Color Management Solution for Flexography and Gravure Printing

of color management and measurement solutions, today announced vipPAQ version 2.0, the upgraded inline 
multi-channel densitometric color measuring system that optimizes production control and quality assurance in 
flexography and gravure printing.  

vipPAQ version 2.0 is a modular inline solution that consists of up to four 9-channel densitometers with 
handheld-compatible optics, a controller, and system software. It is the only solution that can be installed on 
press, which is able to control the density of any spot color, due to the various measurement channels distributed 
over the complete visible spectrum. With the new Import Tool application, reference values can be directly

X-Rite to Acquire Pantone, Inc. Extending Reach in the Color Industry

Grand Rapids, Michigan, August 23, 2007 - X-Rite, Incorporated (Nasdaq: XRIT) a leading provider of color 
solutions for measuring, formulating, matching, and simulating color, announced today it has entered into a 
definitive agreement to purchase Pantone, Inc. for $180 million. The deal is expected to close in the fall of 2007.

Pantone, Inc., headquartered in Carlstadt, New Jersey, is an authority on color inspiration for the design world 
with the PANTONE MATCHING SYSTEM, an innovative system for identifying, matching and communicating 
colors to solve color reproduction problems in the graphic arts market. Pantone has expanded its color matching 
system to other industries where accurate color reproductions are critical, including digital technology, fashion, 
home, plastics, architecture and contract interiors, and paint.

Pantone generated revenue of approximately $42 million in 2006 with adjusted EBITDA (earnings before interest, 
taxes, depreciation and amortization) of approximately 27 percent of revenue. Pantone sells its products, services 
and technology directly, and through hundreds of licensees in over 100 countries in the graphic arts, fashion, 
home, interior, plastics, architectural, paint, industrial design and consumer markets. Anticipated strategic, 
operational and financial benefits of the acquisition include:
- Deepening X-Rite’s range of offerings by adding Pantone’s color standards to its leadership position in 
hardware, software and services solutions
- Leveraging X-Rite’s global presence and distribution capabilities to expand the reach of Pantone’s color 
solutions
- Enhancing X-Rite’s revenue-generating opportunities and further diversifying its revenue base

The transaction is expected to be accretive to X-Rite’s cash earnings per share during year two of the combined 
operations. X-Rite expects to achieve approximately $6.5 million of annual operating expense cost savings 
associated with the transaction in year two. During the first year, the company expects to incur cash restructuring 
costs of approximately $5.5 million.

Financing:
This transaction will be funded exclusively with cash, which will be financed through new borrowings. Merrill 
Lynch, Fifth Third Bank, National City Bank, LaSalle Bank and GoldenTree Asset Management, LP have 
committed to a total debt package of up to $415 million to fund the transaction and refinance X-Rite’s existing 
debt.

Closing:
The transaction is expected to close in the fall of 2007, subject to customary regulatory approvals.

X-rite To Acquire Amazys Holding AG, Agreement Will Create a Global Leader in the Color Industry

Grandville, Mich. / Regensdorf, Switzerland - X-Rite, Incorporated (Nasdaq: XRIT) and Amazys Holding AG 
(SWX: AMSN), two leading providers of color measurement solutions comprised of hardware, software and 
services for the verification and communication of color data, today jointly announced they have entered into 
a definitive agreement under which X-Rite will offer to purchase all of the outstanding registered shares of 
Amazys Holding AG for a purchase price of approximately US$280 million or CHF 77 per share plus 2.11 shares 
of X-Rite, Incorporated stock per share. Amazys develops, markets and supports hardware, software and 
services to measure and communicate color under the GretagMacbeth brand.

Anticipated Strategic, Operational and Financial Benefits of the Acquisition Include: 
- Building one of the strongest talent pools in the industry 
- Creating a global market leader in the color industry

The combined company expects to achieve approximately US$25 million of annual operating expense savings 
in connection with the transaction in year three, with combined gross margins of approximately 63 percent. 
During the first year, the company has plans to incur restructuring costs of approximately US$20 million. The 
transaction is expected to be accretive to X-Rite’s EPS during year two of the combined operations.

Organization of the Combined Entity:
A strong team of X-Rite and Amazys executives will lead the new organization. Following the deal, Michael 
C. Ferrara will remain CEO, Thomas J. Vacchiano Jr. (Present Amazys CEO) will be named President and 
COO, Mary E. Chowning will remain CFO, and Dr. Francis Lamy will be appointed CTO. Following the completion 
of the transaction, the Board of Directors will be comprised of nine members, including six current directors of 
X-Rite and three current directors of Amazys Holding AG. 

In the immediate future, X-Rite and Amazys Holding AG will continue to operate as separate companies. 
Throughout the integration process, brand strategy for both companies and their respective product lines will 
be reviewed in a thoughtful, deliberate manner to add the most value for stakeholders. Following the transaction’s 
completion, global headquarters will be located in Grandville, Michigan with the European Headquarters in 
Regensdorf, Switzerland.

Offer Price:
CHF 77 in cash net of possible diluting effects that may take place before the settlement of the offer plus 2.11 
shares of X-Rite for each share of Amazys Holding AG.

Offer Period: 
The Pre-announcement of the offer has been published today in the electronic media and is also available at 
X-Rite’s and Amazys’ websites. It is anticipated that the publication of the tender offer prospectus will be on or 
about March 3, 2006. The initial tender offer period will be 20 business days, expected to run from March 3, 
2006 to March 30, 2006, 16.00 hours CET. X-Rite reserves the right to extend the tender offer period once or 
several times. If and once the offer is declared unconditional, the tender period will be extended by an additional 
10 business days. 

Conditions and Approvals: 
The tender offer is conditioned on 70 percent of Amazys Holding AG’s fully diluted shares being tendered as 
well as other conditions in accordance with Swiss takeover regulation.

The proposed transaction is subject to approval by the X-Rite shareholders.

Control: 
Assuming full take-up of the offer, X-Rite and Amazys Holding AG’s current shareholders would own 
approximately 74 percent and 26 percent, respectively, of the combined entity. 

Financing: 
The cash portion of the transaction will be financed through a combination of cash on hand and new 
borrowings. Goldman Sachs has provided a commitment to a total debt package of up to US$220 million to 
fund the transaction.

Closing: 
The transaction is expected to close in the late Spring of 2006, subject to obtaining shareholder approvals 
and customary regulatory approvals.

Prior to the closing, X-Rite and Amazys Holding AG will operate as separate businesses.
